1. Acceptance of Terms

By accessing or using Dorift (the "Service"), including our mobile applications, desktop applications, web application, and website (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Dorift, operated by Dr. József Juhász, Private Entrepreneur, Katona József utca 14, 6000 Kecskemét, Hungary ("Company," "we," "us," or "our"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, for registered users, by sending an email notification. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Eligibility

To use the Service, you must:

• Be at least 16 years of age (or the age of digital consent in your jurisdiction, whichever is higher)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable law
• Not have been previously banned or removed from the Service

If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Description of Service

Dorift is an offline-first task management application that allows you to:

• Create, organize, and manage tasks, categories, and tags
• Set due dates, priorities, and reminders
• Sync your data across multiple devices (with an account)
• Access your tasks offline

The Service is provided on an "as available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

4. User Accounts

4.1 Account Creation

Certain features of the Service require you to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4.2 Account Security

You are responsible for safeguarding your account credentials. We recommend using a strong, unique password and enabling additional security features when available. We are not liable for any loss or damage arising from your failure to protect your account.

4.3 Account Termination

You may delete your account at any time through the app settings or by contacting us. Upon deletion:

• Your cloud-synced data will be permanently deleted within 30 days
• Local data on your devices will remain until you uninstall the app
• Active subscriptions will not be automatically refunded (see Section 5)

5. Subscriptions and Payments

5.1 Free and Paid Plans

The Service is available in both free and paid tiers:

• Dorift (Free): Core features with usage limits (25 tasks, 3 categories, 3 tags)
• Dorift Pro: Unlimited usage and premium features for a monthly or annual subscription fee

5.2 Billing

For paid subscriptions:

• Payment is processed through Stripe, our third-party payment processor
• Subscriptions are billed in advance on a recurring monthly or annual basis, depending on the plan you choose
• Monthly subscriptions are billed every month; annual subscriptions are billed once per year
• Your subscription automatically renews unless cancelled before the renewal date
• Prices are displayed in Euros (EUR) and include applicable taxes where required
• We reserve the right to change pricing with 30 days' notice to existing subscribers

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription remains active until the end of the current billing period
• You will not be charged for subsequent billing periods
• Your account will revert to the free tier after the paid period ends
• If you exceed free tier limits, you will need to upgrade or remove content

5.4 Refunds

Due to the digital nature of our Service:

• Refunds are generally not provided for partial subscription periods
• EU consumers may be entitled to a 14-day withdrawal period for new subscriptions, as required by the Consumer Rights Directive, unless the Service has been fully performed with your prior express consent
• Refund requests for exceptional circumstances may be submitted to hello@dorift.com

5.5 Failed Payments

If a payment fails, we will attempt to process it again and notify you. If payment cannot be processed after multiple attempts, your subscription may be suspended or downgraded to the free tier.

6. User Content

6.1 Ownership

You retain all ownership rights to the content you create within the Service ("User Content"), including tasks, notes, categories, and tags. We do not claim ownership of your User Content.

6.2 License to Us

By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

• Store, process, and transmit your User Content as necessary to provide the Service
• Create backups and redundant copies for service reliability
• Modify or reformat content for technical compatibility

This license is solely for the purpose of operating and improving the Service. We will not use your User Content for marketing or share it with third parties except as necessary to provide the Service or as required by law.

6.3 Your Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any third-party rights
• Your User Content complies with applicable laws

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service or its infrastructure
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use automated means to access the Service without permission
• Circumvent usage limits or access control measures
• Impersonate any person or entity
• Use the Service for any illegal or unauthorized purpose

We reserve the right to suspend or terminate accounts that violate these restrictions.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its design, features, code, graphics, logos, and trademarks, is owned by Dorift and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

Key provisions of our Privacy Policy include:

• Data Collection: We collect only the personal data necessary to provide the Service (see Privacy Policy Section 3).
• Cookie Consent: Our use of cookies is described in Privacy Policy Section 13. By using our website, you consent to our use of essential cookies. Non-essential cookies require your explicit consent.
• Data Breach Notification: In the event of a data breach affecting your personal data, we will notify you in accordance with applicable law (see Privacy Policy Section 11.1).
• Your Rights: Depending on your jurisdiction, you may have rights to access, correct, delete, or port your data (see Privacy Policy Section 10).

10. Third-Party Services

The Service may integrate with or contain links to third-party services (e.g., Stripe for payments, authentication providers). These third-party services are governed by their own terms and privacy policies. We are not responsible for the practices of third-party services, and your use of them is at your own risk.

11. Service Availability

11.1 Availability

While we strive to provide reliable service, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security updates
• Factors beyond our reasonable control

11.2 Offline Functionality

Due to our offline-first architecture, core task management features remain available even when you are not connected to the internet. However, features requiring server communication (sync, account management) require an internet connection.

11.3 Data Backup

While we maintain backups of cloud-synced data, we recommend periodically exporting your data using the in-app export feature. You are responsible for maintaining your own backups of important information.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• THAT DEFECTS WILL BE CORRECTED
• THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR RESULTS OF THE SERVICE IN TERMS OF ACCURACY, RELIABILITY, OR OTHERWISE.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

13.1 IN NO EVENT SHALL DORIFT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, DATA, USE, OR GOODWILL
• SERVICE INTERRUPTION
• COMPUTER DAMAGE OR SYSTEM FAILURE
• THE COST OF SUBSTITUTE SERVICES

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR
• ONE HUNDRED EUROS (EUR 100)

13.3 THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow the limitation of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Dorift and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable law

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.

15. Termination

15.1 Termination by You

You may terminate your account at any time by following the account deletion process in the app settings or by contacting us.

15.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include:

• Violation of these Terms
• Conduct that we determine is harmful to other users, us, or third parties
• Extended periods of inactivity
• Discontinuation of the Service

15.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and User Content (subject to our data retention policies)
• Sections that by their nature should survive termination will survive, including Sections 6 (User Content), 8 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 16 (Dispute Resolution)

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at hello@dorift.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 calendar days of receiving your notice.

16.2 Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of Hungary, without regard to conflict of law principles. For matters falling within the scope of EU law, the applicable EU regulations shall apply.

16.3 Jurisdiction

Any legal action or proceeding arising out of these Terms shall be brought exclusively in the courts located in Kecskemét, Hungary, and you consent to the personal jurisdiction of such courts.

16.4 Consumer Rights

If you are a consumer in the European Union, you may also bring proceedings in the courts of your country of residence. Additionally, you may be entitled to use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

Nothing in these Terms affects your statutory rights as a consumer under applicable mandatory consumer protection laws.

16.5 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Dorift regarding the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.6 Notices

We may provide notices to you via email, in-app notifications, or by posting on the Service. Notices to us should be sent to hello@dorift.com.

17.7 Language

These Terms are written in English. If translated into other languages, the English version shall prevail in case of any conflict.
